Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mythropic, Inc. ("Mythropic," "we," "us," or "our") governing your access to and use of the mythropic.com website and our services, including AudioFlow (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these requirements.

Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Your Content and Intellectual Property

Ownership

You retain all rights, title, and interest in and to the content you upload to our Services, including manuscripts, ebooks, and any other creative works ("Your Content"). Mythropic does not claim ownership of Your Content.

License to Mythropic

By uploading Your Content to our Services, you grant Mythropic a limited, non-exclusive, worldwide license to process, store, and transform Your Content solely for the purpose of providing the Services you request, including generating audiobook narration and production files. This license terminates when you delete Your Content from our Services or close your account.

Your Representations

You represent and warrant that:

You own or have the necessary rights to upload Your Content and grant the license described above.
Your Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights.
Your Content complies with all applicable laws and regulations.

AudioFlow Service Terms

Service Description

AudioFlow is an AI-powered audiobook production platform that transforms manuscripts into audiobooks using synthetic narration technology. The quality of the output depends on factors including the format and structure of the uploaded content, selected voice configurations, and the complexity of the manuscript.

Output Ownership

Audiobooks and audio files produced through AudioFlow using Your Content ("Output") are owned by you. You may distribute, sell, or otherwise use the Output without restriction, subject to the terms of your subscription plan.

AI-Generated Content Disclosure

AudioFlow produces audiobooks using AI-generated narration. You acknowledge that the narration voices are synthetically generated and not performed by human voice actors. You are responsible for complying with any disclosure requirements or regulations regarding AI-generated content that apply in your jurisdiction or on distribution platforms you use.

Acceptable Use

You agree not to use our Services to:

Upload content that you do not have the right to use or that infringes on others' intellectual property.
Generate audiobooks of content that is defamatory, obscene, threatening, or otherwise unlawful.
Attempt to reverse engineer, decompile, or extract the underlying AI models or technology.
Use automated means to access the Services beyond the interfaces we provide.
Interfere with or disrupt the integrity or performance of the Services.
Resell, sublicense, or redistribute the underlying AI voice technology separately from audiobook outputs.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Use the Services to create content for fraudulent, deceptive, or misleading purposes.

Payment Terms

Certain features of our Services require payment. All fees are stated in U.S. dollars unless otherwise indicated. You agree to pay all fees associated with your use of the Services in accordance with the pricing and payment terms presented to you at the time of purchase.

Fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change our pricing with reasonable notice to you.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, MYTHROPIC DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that the quality of the AI-generated narration will meet your specific requirements. AI narration technology is continuously improving, and output quality may vary.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYTHROPIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Mythropic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your use of the Services, or Your Content.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language. The arbitration shall take place in Delaware, or at a location mutually agreed upon by the parties.

Changes to These Terms

We may revise these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mythropic regarding the Services.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
